Terms of Service

Protected requests are authenticated and authorised. Important business operations are recorded in the audit trail.

If you do not agree to these Terms, you must not use the platform.

Haviqo (operated by Caelius Management L.L.C-FZ) provides a cloud-based corporate operating system for UAE-registered companies, including modules for accounting, payroll, VAT, Corporate Tax, HR management, corporate secretarial, and AI-assisted compliance. The platform is provided on a software-as-a-service (SaaS) basis, AS IS and AS AVAILABLE, without warranty of any kind.

Certain modules are designated as Beta (currently: IFRS Financial Statements, FTA Preparation Report, AI Assistant). Beta features are provided without warranty of accuracy or completeness. The compliance disclaimer above applies with particular force to Beta modules. AI features (Haviqo AI assistant, OCR receipt scanning) are automated tools that may contain errors. Data submitted to AI features is transmitted to a third-party AI provider (Groq Inc., United States) for processing. See the Privacy Policy for details.

• You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
• You must notify us immediately at legal@haviqo.com if you suspect unauthorised access.
• Access is role-based (OWNER, CFO, ACCOUNTANT, AUDITOR, HR_MANAGER). You are responsible for assigning appropriate roles to your team members.
• Demo accounts are provided for evaluation purposes only. Data entered in demo sessions may be reset without notice.
• You must not share credentials, circumvent access controls, or attempt to access other tenants’ data.

You own your data. All company data, financial records, employee data, and documents you input into the platform remain your property. Haviqo does not claim any ownership over your data.

You grant Haviqo a limited, non-exclusive licence to process your data solely for the purpose of providing the services. We will not use your data to train AI models, sell to third parties, or for any purpose beyond service delivery.

On termination, you may export your data in standard formats during a separate 30-day export window. Tenant data then follows a 90-day deletion lifecycle, subject to any active tenant-scoped Document Templates legal hold.

You must not use the platform to:

• Enter false, fabricated, or fraudulent financial data.
• Attempt to circumvent UAE tax, labour, or corporate governance obligations.
• Reverse-engineer, decompile, or attempt to extract the platform’s source code.
• Conduct automated scraping, load testing, or denial-of-service attacks.
• Violate any applicable UAE law, including Federal Decree-Law No. 34 of 2021 on Combating Rumours and Cybercrime.

Violation of these restrictions may result in immediate suspension of your account without refund.

Subscription fees are charged in advance on a monthly or annual basis. All prices are in AED and exclusive of VAT. VAT at 5% will be added where applicable.

Failure to pay within 14 days of the due date may result in suspension of access. We will provide 7 days’ written notice before suspension. Refunds are governed by our Refund Policy. A full refund is available if you cancel within 7 days of your first paid charge and have not made substantive use of the platform. Fees for partial periods after cancellation are otherwise non-refundable, except where required by UAE consumer protection law.

You agree to indemnify and hold harmless Haviqo, its officers, employees, and agents from any claims, damages, fines, or legal costs arising from: (a) your use of the platform in breach of these Terms; (b) your violation of any UAE law or regulation; (c) your reliance on platform outputs without independent professional verification; (d) data you have entered into the platform; or (e) any AI-generated output you have acted upon without independent verification.

Either party may terminate the subscription with 30 days’ written notice. Haviqo may terminate immediately for material breach (including non-payment, violation of acceptable use, or fraudulent activity).

On termination, your access will be suspended. You have a separate 30-day export window. Tenant data then follows a 90-day deletion lifecycle; Document Templates content is not purged while an active tenant-scoped legal hold applies.

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Dubai, UAE.

If you are a consumer in the EEA, you retain the right to bring proceedings in your local courts under applicable EU consumer protection law.

We will notify you of material changes by email and in-platform notice at least 30 days before they take effect. Continued use after that date constitutes acceptance. If you do not accept the revised Terms, you may terminate your subscription before the effective date.
